1. Contracting Parties

This agreement is entered into between

Ihr x Nic
(hereinafter referred to as the “Contractor”)

and

the clients specified in the booking form
(hereinafter referred to as the “Clients”).

2. Conclusion of Contract

2.1 The presentation of services on websites, social media platforms, brochures or quotations does not constitute a legally binding offer.

2.2 The contract becomes legally binding as soon as the Clients:

digitally confirm the contract,
complete the booking process,
or pay a reservation fee.

2.3 A handwritten signature is not required.

2.4 By digitally confirming the booking, the Clients explicitly acknowledge that they:

have read and accepted these Terms and Conditions,
have read and accepted the Privacy Policy,
agree to the digital processing of the contract,
and expressly request that Ihr x Nic begins performance of the services before expiration of any applicable statutory withdrawal period.

2.5 Electronic confirmations, emails, booking confirmations and payment receipts shall constitute full proof of conclusion of contract.

3. Scope of Services

3.1 The exact scope of services shall exclusively result from the individual quotation or booking confirmation.

3.2 Artistic direction, editing style, image style, color grading, selection of photographs/videos and post-production are solely subject to the creative discretion of Ihr x Nic.

3.3 Unedited footage, RAW files, project files, rejected images or unused recordings are not part of the contractual services.

3.4 Weather conditions, lighting conditions, venue restrictions, schedule delays or interference by third parties may affect the final result and shall not constitute a defect.

3.5 Ihr x Nic is entitled to use assistants, subcontractors or third parties for fulfillment of the contract.

4. Prices & Payment

4.1 A reservation fee may be required to secure the booking date.

4.2 The reservation fee shall be credited toward the final invoice amount.

4.3 Invoices are payable within 7 days from the invoice date without deduction.

4.4 In the event of late payment, Ihr x Nic shall be entitled to charge statutory default interest.

4.5 Until full payment has been received, all delivered services, files, media and products remain the property of Ihr x Nic.

4.6 Ihr x Nic reserves the right to withhold delivery of final files until full payment has been received.

5. Delivery & Online Gallery

5.1 Delivery of photographs and videos shall be made digitally.

5.2 The Clients will receive the final files through a password-protected online gallery or download platform.

5.3 The Clients are solely responsible for downloading and securing the delivered files in due time.

5.4 The download access may be limited in time.

5.5 After expiration of the delivery period, no entitlement to renewed access or re-delivery shall exist.

5.6 Delivery times are only binding if explicitly confirmed in writing.

5.7 Standard editing and delivery times are approximately:

Photos: up to 12 weeks
Videos: up to 16 weeks

5.8 Delays caused by high workload, illness, technical problems or force majeure shall not constitute a defect.

6. Obligations of the Clients

6.1 The Clients shall ensure that all organizational requirements necessary for performance of the services are fulfilled.

6.2 The Clients are responsible for informing guests and participants that photo and video recordings will take place.

6.3 Requests regarding specific persons, group photos or important program points must be communicated in writing before the event.

6.4 Delays or restrictions in the event schedule not caused by Ihr x Nic may lead to limitations of the services.

7. Artistic Freedom

7.1 The Clients acknowledge being familiar with the photographic and editing style of Ihr x Nic.

7.2 Artistic and creative decisions regarding photography and videography remain solely at the discretion of Ihr x Nic.

7.3 Complaints regarding artistic style, composition, editing, color grading, perspective or creative interpretation are excluded, provided the services have been performed technically and professionally.

8. Force Majeure / Inability to Perform

8.1 If Ihr x Nic is unable to perform the contract due to force majeure, illness, accident, death, governmental restrictions or other unforeseeable circumstances, no claims for damages shall arise.

8.2 Any payments already made shall be refunded in full.

8.3 Further claims are excluded.

8.4 Ihr x Nic will endeavor, where possible, to assist in finding a suitable replacement service provider, without assuming liability for such replacement.

9. Cancellation by the Clients

9.1 The Clients may cancel the contract at any time.

9.2 Cancellation must be made in text form (e.g. email).

9.3 In the event of cancellation, Ihr x Nic shall be entitled to reasonable compensation pursuant to Section 648 German Civil Code (BGB).

9.4 The following cancellation fees apply:

up to 180 days before the event: 25%
up to 90 days before the event: 50%
up to 30 days before the event: 75%
from 14 days before the event or in case of non-appearance: 90%

of the agreed total contract amount.

9.5 Any costs already incurred for travel, accommodation, materials or third-party services shall additionally be reimbursed.

9.6 The Clients retain the right to prove that no damage or substantially lower damage has occurred.

10. Additional Photographers / Guest Recordings

10.1 Guests are permitted to take private photographs and videos provided they do not interfere with the work of Ihr x Nic.

10.2 Any additional professional photographers or videographers must be disclosed in writing prior to the event.

10.3 Ihr x Nic shall not be liable for impairments caused by third parties.

11. RAW Files & Archiving

11.1 RAW files, unedited video files, project files and original materials remain the sole property of Ihr x Nic.

11.2 There is no entitlement to receive RAW files or unedited material unless explicitly agreed in writing.

11.3 Ihr x Nic stores final edited files for at least 12 months.

11.4 After this period, no obligation for further storage or archiving exists.

12. Liability

12.1 Ihr x Nic shall be fully liable in cases of intent, gross negligence and damages resulting from injury to life, body or health.

12.2 In cases of slight negligence regarding essential contractual obligations, liability shall be limited to foreseeable and contract-typical damages.

12.3 Any further liability is excluded.

12.4 Except in cases of intent, gross negligence or personal injury, liability shall be limited to the agreed contract value.

12.5 Ihr x Nic shall not be liable for technical defects, memory card failures, data loss, camera or drone malfunctions, theft, force majeure or unforeseeable technical disruptions unless caused intentionally or through gross negligence.

12.6 Loss of individual recordings or files shall not constitute total failure of performance.

13. Limitations of Services

13.1 Ihr x Nic shall not be liable for limitations in image or video quality caused by:

adverse weather conditions,
darkness or poor lighting,
tight schedules,
restrictions imposed by venues,
interference by third parties,
obstructed views,
religious or governmental restrictions.

13.2 If recordings are impaired by guests, service providers or other third parties, no claims for repetition or damages shall arise.

14. Drone Footage

14.1 Drone footage shall only be provided where:

weather conditions permit safe operation,
legal regulations can be complied with,
and no governmental or venue restrictions apply.

14.2 There is no guaranteed entitlement to drone footage.

15. Copyright & Usage Rights

15.1 All copyrights remain exclusively with Ihr x Nic.

15.2 The Clients receive a non-exclusive, unlimited private usage license.

15.3 This license includes:

private printing,
private sharing,
social media use,
cloud storage,
and private digital usage.

15.4 Commercial use, resale, publication for business purposes or transfer to third parties for commercial use requires prior written consent from Ihr x Nic.

15.5 Watermarks, copyright notices or author identifications may not be removed.

16. Portfolio & Publication Rights

16.1 The Clients agree that selected photographs and videos may be used by Ihr x Nic for self-promotional purposes.

16.2 Such use may include publication on:

websites,
social media,
portfolios,
advertisements,
printed materials,
exhibitions.

16.3 Consent may be revoked at any time with effect for the future.

16.4 Already published print products or advertising campaigns remain unaffected by revocation.

16.5 If the Clients object to publication prior to conclusion of the contract in writing, no promotional use shall occur.

17. Privacy & GDPR

17.1 Personal data shall be processed in accordance with applicable data protection laws.

17.2 The Clients confirm that they are authorized to provide personal data of third parties to Ihr x Nic.

17.3 The Clients are responsible for informing guests that photo and video recordings will take place.

17.4 Persons who do not wish to appear in recordings must be communicated to Ihr x Nic prior to the event.

17.5 Further information is provided in the Privacy Policy of Ihr x Nic.

18. Meals & Catering

18.1 For bookings exceeding 6 hours, the Clients shall provide appropriate meals and non-alcoholic beverages for Ihr x Nic.

19. Travel & Accommodation Costs

19.1 Travel costs, parking fees, tolls and accommodation costs shall be charged according to the quotation.

19.2 For events requiring return travel between 12:00 a.m. and 6:00 a.m., accommodation may be required.

20. Rental Terms for Event Equipment

20.1 General

All rental equipment shall be inspected for functionality and visible defects prior to delivery.

20.2 Transfer of Risk

Upon delivery of the rental equipment, the risk of damage, deterioration or loss transfers to the Clients.

20.3 Use

Rental equipment must only be used properly and for its intended purpose.

Use is at the Clients’ own risk.

20.4 Supervision

Children under the age of 16 may only use rental equipment under adult supervision.

The Clients undertake never to leave rental equipment unattended.

20.5 Placement

Rental equipment must only be used in dry, weather-protected, stable and level locations.

20.6 Liability for Damage

The Clients shall be liable for:

loss,
theft,
intentional damage,
improper use,
damage caused by third parties.

20.7 Damage Compensation

Light bulb: €6.00
Cable: €20.00
Cable reel: €25.00
Glass/display damage: €250.00
Scratches/dents: €85.00
Trigger device: €115.00

Total damage:

Vintage Photo Booth: €2,500.00
Vintage Photo Booth Print: €5,000.00
Boho Love Letter per letter: €1,000.00
Printer: €1,500.00

Proof of higher or lower damages remains reserved.

21. Right of Withdrawal for Consumers

21.1 Consumers generally have a statutory right of withdrawal.

21.2 The Clients expressly request that Ihr x Nic begins performance of services before expiration of the statutory withdrawal period.

21.3 The Clients acknowledge that the right of withdrawal expires once the contract has been fully performed.

21.4 If services have already been partially performed during the withdrawal period, reasonable compensation for services rendered shall be payable in the event of withdrawal.

22. Final Provisions

22.1 Amendments or additions to this contract must be made in text form.

22.2 Should any provision of this contract be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

22.3 The laws of the Federal Republic of Germany shall apply.

22.4 If the Client is a merchant or has no general place of jurisdiction in Germany, the registered office of Ihr x Nic shall be agreed as the place of jurisdiction.
